These Terms of Service (“Terms,” “Agreement”) govern your access to and use of the website located at peplynx.com and any related subdomains, content, features, tools, accounts, products, and services (collectively, the “Site” and “Services”).

PepLynx Biotech (“PepLynx,” “we,” “us,” or “our”) supplies research-grade peptides and related materials intended solely for laboratory in-vitro research use. Our products are not for human or animal consumption or clinical use of any kind.

BY ACCESSING OR USING THE SITE, CREATING AN ACCOUNT, OR PLACING AN ORDER, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY (INCORPORATED HEREIN BY REFERENCE). IF YOU DO NOT AGREE, DO NOT USE THE SITE OR PURCHASE FROM US.

1. ELIGIBILITY & USER REPRESENTATIONS

1.1 Age Requirement
You represent and warrant that:

  • You are at least twenty-one (21) years of age;
  • You have the legal capacity to enter into a binding contract; and
  • You are not prohibited from using the Services under any applicable law.

1.2 Qualified Research Use Only
By purchasing from PepLynx, you further represent and warrant that:

  • You are a qualified and properly trained research or laboratory professional, or
  • You are purchasing on behalf of a legitimate laboratory, institution, university, company, or other research facility that is authorized to handle research chemicals.

If you do not meet these criteria, you are not authorized to purchase or use our products.

1.3 Use on Behalf of an Organization
If you use the Services on behalf of an entity, you represent and warrant that you have authority to bind that entity to these Terms and that “you” and “user” include both you personally and that entity.

2. DEFINITIONS

For purposes of these Terms:

  • “Products” means all peptides, peptide formulations, research reagents, and other physical goods offered for sale by PepLynx through the Site.
  • “Research Use” means in-vitro laboratory research, method development, assay validation, analytical work, and similar non-clinical research purposes.
  • “Account” means a registered user profile created to access certain features of the Site or place orders.
  • “Content” means all text, graphics, images, data, software, designs, logos, and other materials made available through the Site.

3. RESEARCH USE ONLY – NO HUMAN OR ANIMAL CONSUMPTION

3.1 Research-Only Purpose
All Products offered by PepLynx are intended exclusively for laboratory in-vitro research use. Without limitation, Products:

  • Are not drugs, medicines, dietary supplements, foods, cosmetics, medical devices, or diagnostic products;
  • Have not been evaluated or approved by the U.S. Food and Drug Administration (“FDA”) or any other regulatory authority for human or animal use;
  • Must not be used in or on humans or animals under any circumstances.

3.2 No Medical, Veterinary, or Diagnostic Use
Products must not be used:

  • As food additives, drugs, or household chemicals;
  • For therapeutic, diagnostic, or prophylactic purposes;
  • In clinical trials, medical treatments, or veterinary applications;
  • As ingredients in products intended for human or animal consumption.

3.3 No Medical Advice
Any information on the Site is provided solely for informational and research context. PepLynx does not provide medical, veterinary, or treatment advice, and nothing on the Site should be construed as such.

3.4 No Provider–Patient Relationship
Your use of the Site or communications with PepLynx do not create any doctor-patient, provider-patient, pharmacist-patient, or other clinical relationship.

4. PURCHASER REPRESENTATIONS & RESPONSIBILITIES

By placing an order, you expressly represent, warrant, and agree that:

4.1 Training & Safety
You and any personnel under your supervision:

  • Are trained in and knowledgeable about laboratory safety and handling of research chemicals;
  • Understand the potential hazards, toxicity, and risks associated with the Products;
  • Will use appropriate personal protective equipment and containment measures;
  • Will store and dispose of Products in compliance with applicable laws and safety standards.

4.2 Regulatory Compliance
You are solely responsible for:

  • Ensuring your use of Products complies with all applicable local, state, federal, and international laws and regulations, including but not limited to the FD&C Act, controlled substances regulations, occupational health and safety rules, and import/export laws;
  • Determining whether Products may be possessed, used, or imported legally in your jurisdiction;
  • Obtaining all licenses, permits, and approvals required for your research use.

4.3 TSCA & Similar Regulations
Unless otherwise stated, Products may not be listed on the U.S. Toxic Substances Control Act (“TSCA”) inventory or equivalent registries and solely intended for research purposes only. You assume full responsibility to:

  • Determine whether TSCA (or analogous regulations) apply to your intended use; and
  • Ensure that Products are approved or exempt for such use, if applicable.

4.4 No Misbranding or Adulteration
You agree that any material manufactured or formulated using Products:

  • Will not be misbranded or adulterated within the meaning of the FD&C Act or similar laws;
  • Will not be introduced into interstate or international commerce as food, drugs, medical devices, cosmetics, or consumer products.

4.5 No Use Guidance Provided
As a research chemical supplier:

  • PepLynx does not provide reconstitution instructions, dosing guidance, protocols, or application advice;
  • You are solely responsible for designing and validating your own experimental conditions;
  • Requests for usage or preparation guidance may be declined, and repeated requests may lead to order cancellation or account closure.

4.6 Hazard Verification
You are solely responsible for:

  • Assessing the hazards of Products in the context of your use;
  • Conducting any additional research necessary to understand health and safety risks;
  • Implementing appropriate warnings, training, and controls for all personnel who may handle Products.

4.7 Patents & Intellectual Property
The listing or sale of any Product by PepLynx does not grant or imply any license under any patent or intellectual property right. You remain solely responsible for ensuring your use does not infringe third-party rights.

5. SITE ACCESS, ACCOUNTS & CONDUCT

5.1 Account Registration
You may be required to create an Account to place orders or access certain features. You agree to:

  • Provide accurate, current, and complete information;
  • Keep your credentials confidential;
  • Not share your Account or allow unauthorized access;
  • Notify us promptly of any suspected breach or unauthorized use.

You are responsible for all activity under your Account.

5.2 Prohibited Uses of the Site
You may not:

  • Use the Site for any illegal or unauthorized purpose;
  • Attempt to gain unauthorized access to systems or data;
  • Use bots, scrapers, or other automated tools to extract data without our written consent;
  • Interfere with or disrupt the Site’s operation or security;
  • Upload or transmit viruses or harmful code;
  • Use the Site to gather competitive intelligence or reverse-engineer our business practices;
  • Misrepresent your identity, affiliation, or intended use of Products.

PepLynx may monitor usage and suspend or terminate access for violations.

6. ORDERING, ACCEPTANCE & PAYMENT

6.1 Order as Offer
Your order constitutes an offer to purchase Products under these Terms. We may accept or reject any order at our sole discretion.

6.2 Order Review & Verification
PepLynx reserves the right to:

  • Request additional information to verify your identity, affiliation, or intended use;
  • Refuse or cancel orders where misuse is suspected;
  • Limit quantities based on internal risk controls;
  • Maintain internal “banned” or restricted customer lists.

6.3 Pricing & Errors
All prices are listed in U.S. Dollars unless indicated otherwise and are subject to change without notice. While we strive for accuracy:

  • We may correct any price or description errors;
  • If an error affects your order, we may cancel it and refund any amount paid.

6.4 Payment Authorization
By providing payment details, you represent that you are authorized to use the chosen method and authorize us (or our payment processor) to charge the full order amount, including applicable taxes, fees, and shipping.

6.5 ACH / e-Check (If Offered)
If you pay by ACH or e-check, you authorize a single electronic debit for the order amount from the account you provide. You represent that ACH transactions comply with all applicable laws. Once authorized, payments generally cannot be altered or canceled.

6.6 All Sales Final
Due to the nature of research chemicals:

  • All sales are final.
  • We generally do not accept returns or exchanges, except in limited cases of documented error or confirmed defect at our sole discretion.

Chargebacks initiated without first attempting to resolve an issue with us may result in account termination and collection efforts.

7. SHIPPING, DELIVERY & RISK OF LOSS

7.1 Shipping & Delivery Estimates
Shipping options and estimated delivery times are shown at checkout and are not guaranteed. Delays may occur due to carriers, customs, weather, or other factors beyond our control.

7.2 Risk of Loss & Title
Risk of loss and title to Products pass to you when we deliver the shipment to the carrier. After that point, we are not responsible for:

  • Lost, stolen, or damaged packages;
  • Packages marked as delivered by the carrier;
  • Misdelivery due to incorrect or incomplete addresses you provided.

7.3 International Orders
For international shipments:

  • You are the importer of record;
  • You are responsible for compliance with all import laws and regulations;
  • You are responsible for all customs duties, taxes, brokerage fees, and other charges;
  • We are not responsible for delays, seizures, or rejections by customs;
  • No refunds will be issued for Products seized or destroyed by customs or regulators.

8. RETURNS, REFUNDS & CANCELLATIONS

8.1 General Policy
Because of contamination and integrity concerns inherent to research chemicals:

  • Products are non-returnable and non-refundable once shipped, except as required by law or expressly authorized by PepLynx in writing.

8.2 Damaged or Incorrect Products
If you believe you received the wrong item, a significantly damaged product, or that there is a quality concern:

  • You must notify us in writing within a reasonable time after delivery (e.g., within 7–14 days);
  • We may request photos, batch numbers, or additional documentation;
  • We may require return or disposal according to our instructions.

If we determine, in our sole discretion, that a Product is defective or an error occurred, our sole obligation is to replace the Product or refund the purchase price for that item.

9. INTELLECTUAL PROPERTY

9.1 Ownership
The Site, including all Content, designs, code, and logos, is owned by or licensed to PepLynx and is protected by copyright, trademark, and other intellectual property laws.

9.2 Limited License
Subject to these Terms, PepLynx grants you a limited, non-exclusive, non-transferable, revocable license to:

  • Access and use the Site for lawful purposes;
  • View and download Content solely for internal, non-commercial research purchasing decisions.

You may not copy, reproduce, distribute, publicly display, or create derivative works from the Site or its Content without our express written consent.

9.3 Trademarks
“PepLynx,” “PepLynx Biotech,” and associated logos and marks are trademarks or service marks of PepLynx. You may not use our marks without our prior written permission.

9.4 User Feedback
If you provide ideas, feedback, or suggestions, you grant PepLynx a perpetual, irrevocable, worldwide, royalty-free license to use and exploit such feedback without obligation to you.

10. DISCLAIMER OF WARRANTIES

10.1 “AS IS” and “AS AVAILABLE”
To the maximum extent permitted by law, the Site, Services, and Products are provided “AS IS,” “AS AVAILABLE,” and “WITH ALL FAULTS”, without any warranties of any kind.

10.2 No Warranties
PepLynx expressly disclaims all warranties, express, implied, statutory, or otherwise, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement;
  • Warranties regarding accuracy, completeness, reliability, or timeliness of Content;
  • Warranties that the Site will be uninterrupted, secure, or error-free;
  • Warranties that Products are suitable for any specific experimental application or outcome.

Any technical or safety information provided is generic, may not be up-to-date, and must be independently verified by you.

11. ASSUMPTION OF RISK

By purchasing or using Products, you acknowledge that:

  • Research chemicals may pose significant health, safety, and environmental risks;
  • Products may be toxic, harmful, or otherwise hazardous;
  • You assume full responsibility and all risks associated with handling, storage, use, and disposal;
  • You are solely responsible for ensuring that your facilities, equipment, training, and procedures are adequate for safe use.

If you are not qualified and equipped to handle such materials safely, you must not purchase or use Products.

12. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

12.1 Exclusion of Certain Damages
PepLynx and its owners, officers, employees, contractors, and affiliates shall not be liable for any:

  • Indirect, incidental, consequential, special, punitive, or exemplary damages;
  • Loss of profits, revenue, data, or business opportunities;
  • Personal injury, property damage, or health effects allegedly arising from mis-handling or misuse of Products;
  • Damages arising from delays, delivery issues, or customs actions.

12.2 Liability Cap
In all cases, PepLynx’s total aggregate liability to you arising from or related to the Site, Services, or Products, whether in contract, tort, strict liability, or otherwise, shall be limited to the total amount you paid to PepLynx for the Product(s) at issue in the twelve (12) months immediately preceding the claim, or US $100, whichever is greater.

If you are dissatisfied with the Site, Services, or Products, your sole and exclusive remedy is to stop using them.

13. INDEMNIFICATION

As material consideration for any sale or access to the Site, you agree to defend, indemnify, and hold harmless PepLynx and its owners, officers, employees, contractors, and affiliates from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising from:

  • Your purchase, handling, storage, use, or disposal of Products;
  • Your violation of these Terms or any applicable law or regulation;
  • Any third-party claim alleging harm arising from your use of Products, alone or in combination with other substances;
  • Your misuse of the Site or Services.

This indemnity applies whether claims are based in contract, negligence, strict liability, or any other theory and survives termination of this Agreement.

14. THIRD-PARTY LINKS & SERVICES

The Site may contain links to third-party websites or services. PepLynx:

  • Does not endorse or control third-party sites;
  • Is not responsible for third-party content, products, or practices;
  • Disclaims all liability for your use of third-party sites.

Your interactions with third parties are at your own risk and subject to their terms and policies.

15. PRIVACY

Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Site or placing orders, you consent to our privacy practices as described there.

16. AGE & MISUSE – REFUSAL OF SERVICE

16.1 Age Restriction
You must be at least 21 years old to use the Site and purchase Products. We may require proof of age and may refuse or cancel orders if we cannot verify eligibility.

16.2 Misuse & Banned Customers
If we reasonably believe that:

  • You intend to use Products for human or animal consumption;
  • You intend to use Products for therapeutic, diagnostic, or other prohibited purposes;
  • You have misrepresented your identity, affiliation, or intended use;

we may:

  • Refuse current and future orders;
  • Place your information on an internal banned or restricted customer list;
  • Report suspected illegal activity to relevant authorities.

17. SUSPENSION & TERMINATION

PepLynx may, in its sole discretion and without prior notice:

  • Suspend or terminate your Account or access to the Site;
  • Cancel open orders;
  • Restrict your ability to purchase Products.

Termination does not relieve you of any payment obligations incurred prior to termination. Sections that by their nature should survive (including IP, disclaimers, limitations, indemnification, and dispute resolution) will continue in effect.

18. GOVERNING LAW & DISPUTE RESOLUTION

18.1 Governing Law
These Terms and any dispute arising out of or relating to them, the Site, or Products shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict-of-law rules.

18.2 Binding Arbitration & Class Action Waiver
Except where prohibited by law, any dispute, claim, or controversy between you and PepLynx arising out of or relating to these Terms, the Site, or Products will be resolved by final and binding arbitration on an individual basis, rather than in court.

  • Arbitration will be administered by the American Arbitration Association (“AAA”) under its applicable rules.
  • Arbitration will be conducted in or near Sheridan, Wyoming, unless the parties agree otherwise or rules provide for remote proceedings.
  • YOU AND PEPLYNX AGREE THAT EACH MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.
  • YOU WAIVE ANY RIGHT TO A JURY TRIAL.

18.3 Exceptions
Either party may bring:

  • An individual action in small claims court if eligible;
  • An action seeking injunctive or equitable relief in court to protect its intellectual property or confidential information.

19. FORCE MAJEURE

PepLynx shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, supplier failures, transportation disruptions, government actions, pandemics, or widespread technical outages.

20. CHANGES TO THESE TERMS

We may modify these Terms at any time. When we do:

  • We will update the “Last Updated” date at the top of this document; and
  • We may provide additional notice for material changes (e.g., via the Site or email).

Your continued use of the Site or purchase of Products after changes become effective constitutes your acceptance of the revised Terms. If you do not agree, you must stop using the Site and cease purchasing Products.

21. MISCELLANEOUS

21.1 Entire Agreement
These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and PepLynx regarding the Site and Products and supersede all prior or contemporaneous agreements or understandings.

21.2 Assignment
You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign or transfer these Terms without restriction.

21.3 Severability
If any provision of these Terms is held invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

21.4 No Waiver
Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

21.5 No Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights.

21.6 Headings
Section headings are for convenience only and do not affect the interpretation of these Terms.

23. ACKNOWLEDGMENT
